  These Terms of Use and Artist Subscription Terms (“Terms”) govern the use of the services offered by Based On Art, as well as the relationship between Based On Art and any artist using the platform, services, or packages offered by Based On Art.

  By checking the acceptance box during registration, the artist acknowledges that they have read, understood, and accepted all of these Terms and Conditions.

  1. Purpose of the Services

  1. Based On Art offers services in the design, production, customization, promotion, sale, and distribution of clothing and merchandise featuring artwork, designs, or visual elements provided by the artist.
  2. Products may be sold on the Based On Art website, in physical stores, at events, through retail partners, or at any other point of sale operated by Based On Art.
  3. Based On Art may adapt, modify, crop, adjust, recolor, transform, or alter the artwork provided by the artist in order to better integrate it into Based On Art’s visual identity, style, technical constraints, or artistic vision.
  4. A sketch or visual preview may be sent to the artist prior to final production if Based On Art deems it necessary.
  5. Colors, placements, dimensions, materials, prints, and garment styles may vary depending on the model, supplier, printing techniques, and production constraints.
  6. Based On Art reserves the right to modify the designs, fabrics, colors, suppliers, sizes, or materials of its clothing based on market availability.
  7. Based On Art shall not be held liable for out-of-stock items, supplier delays, or product unavailability caused by its partners or suppliers.

  2. License to Use the Artwork

  1. The artist retains ownership of his original artworks.

  2. However, the artist grants Based On Art an exclusive, worldwide license to sell clothing and merchandise, which is transferable to its production partners, suppliers, and collaborators, allowing Based On Art to:

     • use;
     • reproduce;
     • edit;
     • adapt;
     • print;
     • scan;
     • promote;
     • display;
     • market;
     • distribute;
     • publish;
     • exploit;
     • sell;

     the artwork provided by the artist in connection with Based On Art’s activities, products, and services.

  3. This license remains valid for the entire duration of the selected subscription, as well as for the period during which the products already manufactured are being sold.
  4. Based On Art may use artwork, product images, promotional photos, and marketing content related to the clothing after the subscription ends for promotional, advertising, archival, or portfolio presentation purposes.
  5. The artist authorizes Based On Art to use their name, artist name, image, biography, social media accounts, website, and other promotional information to promote the artist and related products.

  3. Intellectual Property Warranty

  1. The artist warrants that he or she is the legal owner of the artworks provided or holds all necessary rights, licenses, and authorizations permitting their commercial use.
  2. The artist warrants that the artworks provided do not infringe upon any copyright, trademark, patent, trade secret, or other intellectual property right owned by a third party.
  3. The artist hereby releases Based On Art from any and all liability, claims, lawsuits, damages, losses, or legal fees arising from any alleged or actual infringement of intellectual property rights.
  4. Based On Art reserves the right to remove, suspend, or refuse any artwork that is the subject of a complaint or reasonable doubt regarding its legality or provenance.
  5. Based On Art also reserves the right to reject any artwork that contains hateful, discriminatory, violent, defamatory, sexually explicit, offensive, or otherwise inappropriate content.
  6. Based On Art reserves the right to reject artworks generated in whole or in part by artificial intelligence.

  4. Subscription duration

  1. The duration of the services depends on the plan selected at the time of registration.
  2. The Essential Plan is valid for a period of one (1) year.
  3. The Discovery and Artwork packages are valid for a period of two (2) years.
  4. The Signature plan is valid for a period of three (3) years.
  5. When the subscription period expires, Based On Art will stop producing new items related to the artist’s artworks.
  6. However, Based On Art retains the right to continue selling products already manufactured during the period in which existing inventory is being sold, until stocks are depleted.
  7. Royalties will continue to be paid to the artist on eligible products sold during this period.

  5. Royalties and Compensation

  1. Based On Art will pay the artist a fixed royalty based on the type of garment sold.

  2. Royalties are calculated based on net sales actually received, excluding, in particular:

     • reimbursements;
     • exchanges;
     • canceled sales;
     • special offers;
     • discounts;
     • taxes;
     • shipping costs.
  3. No royalty is payable on canceled, refunded, or returned orders.
  4. Returns or refunds may be deducted from the artist’s next payment.
  5. Based On Art remains solely responsible for its return, refund, exchange, and customer service policies.
  6. Royalties will be paid to the artist on a monthly basis based on eligible sales recorded.
  7. Fees of less than fifty dollars ($50 CAD) may be carried over to the following month.
  8. The artist is responsible for their own tax obligations, filings, and applicable taxes.
  9. Sales made directly in Based On Art’s physical store remain under the full management of Based On Art.

  6. Table of Standard Royalties

  Based On Art reserves the right to change future royalty rates with reasonable notice.

  7. Resale of the artist’s artworks

  1. Artists may resell Based On Art products in their shops, at events, exhibitions, openings, or other promotional activities.
  2. However, the artist may not publicly announce a price lower than the one listed on the official Based On Art website without prior written authorization.

  8. Promotional products and artist discounts

  1. Based On Art can offer artists a discount on certain products intended for promotional or personal events.
  2. The discount percentage depends on the package the artist chooses.
  3. No royalties will be paid to the artist on products purchased by the artist at a discounted price.
  4. Based On Art may produce certain items free of charge for promotional, advertising, media, or event purposes.
  5. Promotional items distributed for free do not generate any royalties for the artist.

  9. Social Media, Marketing, and Advertising

  1. Based On Art may promote the artist’s artwork, clothing, visual content, and public information on social media, in advertisements, in print media, on digital platforms, and through any other promotional channels.
  2. Based On Art may repost, share, or use the artist’s publicly posted content, videos, photos, or other materials for promotional purposes.
  3. Artists may share Based On Art’s posts, products, and content on their social media accounts.
  4. The artist agrees not to intentionally publish any false, defamatory, misleading, or malicious content that damages the reputation of Based On Art.

  10. Privacy and Personal Data

  1. Based On Art is committed to protecting the confidential information provided by the artist in accordance with its privacy policy.
  2. Certain personal information may be collected for the purpose of managing subscriptions, payments, deliveries, communications, and the services we offer.
  3. The terms and conditions governing the collection, use, and retention of personal data are described in Based On Art’s separate Privacy Policy.
  4. The artist remains responsible for the information provided during registration, as well as for the confidentiality of their login credentials and passwords.

  11. The Artist’s Obligations

  1. The artist agrees to cooperate reasonably with Based On Art’s promotional efforts.
  2. The artist agrees to provide the necessary files, images, and visual elements within a reasonable timeframe.
  3. The artist may not reproduce or sell any designs, clothing, montages, logos, graphic elements, or visual concepts belonging to Based On Art.
  4. However, the artist may produce their own personal promotional materials as long as they do not use Based On Art’s logos, exclusive designs, or protected content.
  5. The artist may not assign, transfer, or share their subscription without the written permission of Based On Art.

  12. Suspension and Termination

  1. Based On Art may suspend, restrict, or terminate an artist’s subscription in the event of:

     • breach of these Terms;
     • fraud;
     • infringement of intellectual property rights;
     • harmful behavior;
     • misuse of services;
     • inappropriate content;
     • damage to the reputation of Based On Art.
  2. No refund will be issued in the event of termination due to a violation of these Terms.
  3. The artist may not cancel their subscription before the end of the term specified in the selected plan, unless Based On Art provides written authorization.
  4. Based On Art may immediately remove any artwork or product deemed problematic, controversial, or in violation of these Terms.

  13. Limitation of Liability

  1. Based On Art does not guarantee any minimum sales volume, profits, visibility, or revenue.
  2. Based On Art shall not be liable for any indirect losses, loss of profits, loss of business opportunities, business interruptions, or damages resulting from the use of the services.

  3. Based On Art shall not be held liable for any delays, interruptions, or failures to perform caused by events beyond its control, including but not limited to:

     • strikes;
     • natural disasters;
     • shortages;
     • supplier delays;
     • technical issues;
     • outages;
     • cyberattacks;
     • transportation disruptions.

  14. Relationship between the parties

  1. Based On Art operates as an independent company.
  2. These Terms do not create any employment, partnership, association, franchise, agency, or joint venture relationship between Based On Art and the artist.

  15. Changes to the Terms

  1. Based On Art reserves the right to modify these Terms at any time.
  2. The new Terms and Conditions will take effect as soon as they are published on the Based On Art website.
  3. Your continued use of the services after the changes are posted constitutes your acceptance of the updated Terms.

  16. Governing Law

  1. These Terms and Conditions are governed by and construed in accordance with the applicable laws of the Province of Quebec and the applicable federal laws of Canada.
  2. Any dispute must be brought before the competent courts in the judicial district selected by Based On Art in Quebec.

  17. Acceptance

  By signing up for an artist package or using Based On Art’s services, the artist acknowledges that they have read, understood, and accepted these Terms of Use and Subscription for Artists.
